These terms govern your use of the Korufu website and, during the private beta, the Korufu platform. Korufu is owned and operated by a limited liability partnership registered in India. By using Korufu you agree to these terms.
Korufu, the Korufu name and logo, and this website are owned by the operator of Korufu ("Korufu", "we", "us", "our"), a limited liability partnership incorporated under the Limited Liability Partnership Act, 2008 of India.
"You" means the person or organisation using Korufu. If you use Korufu on behalf of an organisation, you confirm that you are authorised to accept these terms for it.
Korufu is simulation infrastructure for market insight. It builds models of a market from data you and we provide, runs studies against synthetic respondents and reports results with confidence estimates, so that you can decide where to spend real fieldwork.
Korufu is currently in private beta. Access is granted at our discretion, may be limited in scope and may be withdrawn at any time. Features may change, be unavailable or be discontinued without notice while the service is in beta.
You agree not to:
Your inputs. You retain all rights in the briefs, documents, datasets and other material you provide ("Inputs"). You grant us a limited, non-exclusive licence to use Inputs solely to provide and improve the service for you, consistent with our Privacy Policy. We do not use your Inputs to train models made available to other customers.
Outputs. Subject to these terms, you may use the simulation results, reports and other material Korufu generates for you ("Outputs") for your internal business purposes. Outputs may be similar to outputs generated for other customers, and we cannot grant you exclusive rights in them.
Our platform. Korufu, including its software, models, methodology, interfaces, documentation and branding, is owned by us or our licensors and protected by Indian and international intellectual property law. Nothing in these terms transfers ownership of the platform to you.
Korufu produces estimates, not measurements. Synthetic respondents are statistical constructs, not real people, and simulation results depend on the quality and coverage of the data used to build the model. Results may be wrong, incomplete or biased, and confidence estimates are themselves model-derived.
You are solely responsible for decisions you make based on Outputs. Korufu is a decision-support tool and is not a substitute for primary research, professional advice or your own judgement. Where the service indicates low confidence or recommends fieldwork, that is guidance only.
Access during the private beta may be free or provided under a separate written agreement. Where fees apply, they are set out in that agreement or an order form, are exclusive of applicable taxes including GST, and are payable in the currency and on the schedule stated there. In the event of a conflict between these terms and a signed agreement, the signed agreement prevails.
Each party will keep the other's non-public information confidential and use it only for the purposes of these terms. This includes your Inputs and Outputs, and our pricing, roadmap and non-public product details. The obligation does not apply to information that is public through no fault of the receiving party, independently developed, or required to be disclosed by law.
Korufu is provided "as is" and "as available", particularly during beta. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy and non-infringement. We do not warrant that the service will be uninterrupted, error-free or secure, or that Outputs will be accurate, complete or fit for any purpose.
To the fullest extent permitted by law, we, our partners, employees and suppliers will not be liable for any indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue, data, goodwill or business opportunity, arising out of or in connection with Korufu or these terms, however caused.
Our total aggregate liability for all claims arising out of or relating to Korufu or these terms will not exceed the greater of (a) the fees you paid to us in the twelve months before the event giving rise to the claim, or (b) INR 10,000. Nothing in these terms limits liability for fraud, wilful misconduct or any liability that cannot be limited under applicable law.
You will indemnify and hold us harmless against claims, losses and expenses, including reasonable legal fees, arising from your Inputs, your use of Outputs, or your breach of these terms or applicable law.
You may stop using Korufu at any time. We may suspend or terminate your access immediately if you breach these terms, if required by law, or if we discontinue the beta or the service. On termination your right to use the service ends, and we will delete or return your Inputs as described in our Privacy Policy. Sections that by their nature should survive, including those on intellectual property, confidentiality, disclaimers, liability, indemnity and governing law, will survive termination.
These terms are governed by the laws of India. The courts at Bangalore, India have exclusive jurisdiction over any dispute arising out of or in connection with these terms or Korufu, subject to the following: the parties will first attempt in good faith to resolve any dispute by discussion between senior representatives for a period of thirty days. Nothing prevents either party from seeking urgent injunctive relief from a court of competent jurisdiction.
